10. LIMITATION OF LIABILITY

11. General Representation and Warranty
    You represent and warrant that (i) your use of the Website will be in strict accordance with the tipini Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the country in which you reside or any other laws, rules and regulations) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.
12. Indemnification
    You agree to indemnify and hold harmless tipini, its officers, directors, agents, employees, its subsidiaries, affiliates, contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature, arising out of your use of the Website or tipini Services, including but not limited to out of your violation of this Agreement.
13. Miscellaneous
    The Terms constitute the entire agreement between you and tipini and govern your use of the Service, superceding any prior agreements between you and tipini. The Terms and the relationship between you and tipini shall be governed by the Indian laws without regard to its conflict of law provisions. You and tipini agree to submit to the personal and exclusive jurisdiction of the courts located within India. The failure of tipini to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
